REAL ESTATE AUCTION TERMS & CONDITIONS:

PROCEDURE: The property will be offered in 10 individual tracts, any combination of those tracts and as a total of 413+/- acres plus tract 11 (9000 bu. grain bin).

BUYERS PREMIUM: The contract purchase price will include a Buyers Premium equal to 3% of the bid amount.

DOWN PAYMENT: Ten percent (10%) down payment on the day of the auction with the balance in cash at closing. Your bidding is not conditional upon financing, so be sure you have arranged financing, if needed, and are capable of paying cash at closing. Tract 11 grain bin paid in full night of auction, unless bought in combination with any other tract.

ACCEPTANCE OF BID PRICES: All successful bidders will be required to enter into purchase agreements at the auction site immediately following the close of the auction. The final bid price is subject to Sellers acceptance or rejection.

EVIDENCE OF TITLE: Seller shall provide an owners title insurance policy in the amount of the purchase price.

CLOSING: The balance of the purchase price is due at closing, which shall take place within 30 days after auction or as soon thereafter as possible. Costs for an insured closing shall be shared 50:50 between Buyer(s) and Seller.

POSSESSION: Possession of property at closing, subject to tenants rights under 2015 lease.

REAL ESTATE TAXES: Sellers will pay real estate taxes prorated through December 31, 2015. Buyer(s) is responsible for all real estate taxes thereafter.

APPROVALS: Sale and closing shall be contingent upon approval by Assyria Twp./Barry Co. and Bellevue Twp./Eaton Co. and the proposed land division and compliance with Public Act 591, as to all parcels sold. All real estate is being sold subject to any existing easements and right-of-ways of record and without grants of further division rights under Public Act 591.

ACREAGE: All tract acreages, dimensions, and proposed boundaries are approximately and have been estimated based on property tax information and/or aerial mapping.

MINERAL RIGHTS: Seller to retain 50% of all subsurface mineral rights, if any.

SURVEY: A new survey will be made where there is no existing legal description or where new boundaries are created by the tract divisions in this auction. Buyer(s) and Seller shall share survey expense 50:50.

AGENCY: Schrader Real Estate and Auction Company, Inc. and its representatives are exclusive agents of the Seller.
